（1）定义。发盘又叫报价，是买方或卖方向对方提出各项交易条件，并愿意按照这些条件达成交易，是订立合同的一种确定的表示。发盘必须是确定的，如果在以上的信件最后标明“仅供参考”等不确定字样，则构不成发盘，只是和买方商讨而已。
（2）构成要件。根据《联合国国际货物销售合同公约》规定，发盘应包括以下三个方面的内容：要准确标明货物的名称、规格；应明示或默示规定货物的数量或规定确定数量的方法；应明示或默示规定货物的价格或规定确定价格的方法。
凡包括以上三要素的要约，即可构成发盘，发盘如果被接受，合同即告成立。
