上海高校产业改革：组建与监管方式探讨

摘　要

上海市属高校校办科技企业在促进高校科技产业化过程中起到了重要作用,但使高校承担了企业的商业风险。为了在高校与企业之间建立防火墙,阻断企业风险对高校的影响,根据教育部和上海市教委的要求,由市属高校经营性资产管理委员会组建资产经营公司是必要的也是可行的方法。在资产经营公司组建过程中,市属高校经营性资产管理委员会必须明确资产经营公司的定位,确保阻断经营性资产所具有的风险对高校产生的影响,解除高校对资产经营公司的行政关系,优化资产经营公司的运营体制,设计合理的公司的运营体制,使资产经营公司具有符合现代企业制度要求,具备自主决策、自担风险、自负盈亏的能力。为了维护高校对资产经营公司的合法权益,市属高校经营性资产管理委员会要切实履行股东职责,对资产经营公司进行监管,包括股东会监管、监事会监管、党委会监管、审计监管和行政监管,实现国有资产的保值和增值。

Abstract

Technical enterprises subordinated Shanghai universities have promoted to industrialize technologies and contributed some economic denotation for universities. Therefore,technical enterprises subordinated Shanghai universities received universities and government supports. However,Shanghai universities have beard serious business risk from their subsidiary technical enterprises.In order to control this risk,governments require universities to establish asset management company to manage commercial assets. It is a necessary and practical solution to avoid the business risk from the enterprises. Asset management company is going to improve the value of the state-owned assets.But asset management company need independent operating rights and not accept orders from university,that is,asset management company should establish modern enterprise system. For sake of increasing state-owned asset value,asset management company should be supervised,including investors monitor,supervisor board monitor,CPC monitor,auditing monitor and administrative monitor,etc. Through all kinds of monitors,asset management company tries its best to achieve profit maximization.
